1. About these terms
These Terms of Use ("Terms") are an agreement between you and Code Of Things Pty Ltd (ABN 40 130 223 175) trading as FlexiConnect ("FlexiConnect", "we", "us"). They govern your use of:
- the website at www.flexiconnect.au (the "Website"); and
- the FlexiConnect web app at app.flexiconnect.au and our mobile apps for iOS and Android (together with the Website, the "Platform").
By using the Platform you agree to these Terms. If you are entering these Terms on behalf of an organisation, you confirm you are authorised to bind that organisation.
Nothing in these Terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded.
2. The FlexiConnect service
FlexiConnect is shift-coordination software for Australian organisations that engage casual workers. Organisations ("Organisations") use it to run rosters, release shifts to targeted groups of workers, and let the first eligible worker to accept fill the shift. Casual workers use one FlexiConnect login to see and respond to shifts across every Organisation that has registered them — no separate account per employer.
FlexiConnect is not the employer. We are not a labour-hire agency, an employment agent, or a party to any employment or engagement relationship between a worker and an Organisation. Shifts, rosters, pay, awards and workplace entitlements, safety, and superannuation are entirely matters between the worker and the Organisation. Any hourly rate or pay information shown on a shift is indicative display information supplied by the Organisation — we do not calculate payroll and we do not process or handle payments to workers.
3. Using the website
You may browse the Website without an account.
4. Accounts and eligibility
- An org admin who creates an Organisation account confirms they are authorised to bind that Organisation.
- Workers do not sign themselves up. A worker gets a FlexiConnect account only when an Organisation registers or invites them. One worker identity can be linked to multiple Organisations; each Organisation only ever sees its own relationship with that worker — never another Organisation's shifts, rosters or history for them.
- You must be old enough to be lawfully engaged for casual work. Where a worker is under 18, the inviting Organisation is responsible for obtaining any consent required to register that worker on the Platform. [Pending lawyer confirmation — see draft-review checklist.]
- You are responsible for keeping your login credentials secure and for activity that occurs under your account. Tell us promptly at info@flexiconnect.au if you suspect unauthorised access.
- The information you give us must be accurate and kept up to date.
5. Organisation subscriptions and billing
This section applies to Organisations that subscribe to FlexiConnect. Workers are never charged by us for using the Platform.
- Plans. We offer a free pilot tier and paid plans. Features and limits for each plan are described in your subscription order or on the pricing page.
- Fees. Fees are in Australian dollars, with GST as stated on the invoice. We invoice manually according to your subscription order — there is no online payment processing on the Platform, and we do not store card details.
- Payment terms. Invoices are payable on the terms stated on the invoice. If payment is overdue, we may suspend access after giving notice, subject to clause 13.
- Price changes. We may change plan prices by giving you at least 30 days' written notice before the change takes effect. If you do not accept the change, you may cancel before it takes effect and the old price applies until then.
- Downgrades and the free tier. If your subscription lapses or you downgrade, your data is retained but features beyond your current plan's limits become read-only or unavailable, as described in your subscription order.
6. Our role vs your employer's role
In short: FlexiConnect provides the software that coordinates shifts. Your Organisation is your employer or engager. Pay, awards, entitlements, safety and superannuation are between you and the Organisation, not us.
- We are not a party to the engagement between an Organisation and a worker. The Organisation is responsible for complying with its obligations as an employer or engager, including under the Fair Work Act, applicable awards, and work health and safety law.
- Where an Organisation sets a policy through the Platform (for example, its cutoff for withdrawing from an accepted shift, or which workers a shift is released to), that policy is the Organisation's. Questions or disputes about pay, rostering decisions or allocation outcomes should be raised with the Organisation first.
7. How shifts are allocated
- When an Organisation releases a shift, it is offered to the group of workers the Organisation targets. The first eligible worker to accept is allocated the shift. This rule is applied automatically and uniformly by the Platform — there is no ranking or preferencing of workers.
- A worker who has accepted a shift may withdraw from it before the Organisation's configured cutoff for that shift. Withdrawing after the cutoff, or not attending an accepted shift, is a matter between the worker and the Organisation.
- An Organisation can manually assign or unassign a worker to a shift at any time, regardless of the accept-race outcome.
- Where two workers attempt to accept the same shift at the same time, only one succeeds. This outcome is final and is not something we can reverse or arbitrate — allocation disputes are between the worker and the Organisation.
8. Acceptable use
You must not, and must not attempt to:
- use the Platform in a way that breaks any law, including the Privacy Act 1988 (Cth) and the Spam Act 2003 (Cth) when sending communications through the Platform;
- access accounts, organisations or data you are not authorised to access, or probe or test the security of the Platform without our written permission;
- upload content that is unlawful, misleading, infringing or harmful;
- interfere with the operation of the Platform, including by overloading it, introducing malicious code, or scraping it at scale;
- resell or white-label the Platform without a written agreement with us; or
- use another person's identity or misrepresent your affiliation with an Organisation.
9. Content and intellectual property
- Your content. Organisations and workers retain ownership of the content they add to the Platform (rosters, shift details, notes, messages). You grant us a licence to host, store, display and transmit that content solely to operate and support the Platform.
- Responsibility for content. Whoever uploads content is responsible for having the right to do so and for its accuracy — including shift details, rates displayed, and roster information.
- Our IP. The Platform, its software, design and branding are owned by us or our licensors. We grant you a non-exclusive, non-transferable right to use the Platform in accordance with these Terms. You may not copy, modify or reverse-engineer the Platform except as permitted by law.
- Feedback. If you send us suggestions, we may use them without obligation to you.
10. Privacy
Our Privacy Policy explains what personal information we collect, why, how we hold it, and your rights. It forms part of these Terms.
11. Availability and support
- We aim to keep the Platform available at all times, but we do not promise uninterrupted or error-free operation. We may perform maintenance, and we will try to give notice where practical.
- Support is provided by email at info@flexiconnect.au. Paid plans may include additional support levels as described in your subscription order.
- We back up Platform data regularly, but Organisations remain responsible for keeping their own records where the law requires them to (for example, employment and payroll records).
12. Your rights under the Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your service contract with us and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.
13. Liability
This clause applies to the maximum extent permitted by law and does not limit your rights under clause 12.
- Neither party is liable to the other for indirect or consequential loss, loss of profits, or loss of goodwill arising out of or in connection with the Platform.
- Our total aggregate liability to an Organisation arising out of or in connection with these Terms is limited to the subscription fees that Organisation paid us in the 12 months before the event giving rise to the claim (or, where no fees were paid, AUD $100).
- Where legislation implies a guarantee that cannot be excluded but liability can be limited, our liability is limited, at our option, to resupplying the service or paying the cost of having it resupplied.
- We are not liable for any loss arising from the employment or engagement relationship between a worker and an Organisation, including pay, entitlements, rostering decisions, or workplace safety — those are matters between the worker and the Organisation.
- You are responsible for loss caused by your breach of these Terms or misuse of the Platform. Nothing in these Terms requires you to indemnify us for loss caused by our own negligence or breach.
14. Suspension, termination and your data
- By you. You may close your account, and an Organisation may cancel its subscription, at any time.
- By us. We may suspend or terminate access if you materially breach these Terms, if required by law, or to protect the security of the Platform or its users. Except where the breach is serious (for example, a security threat or unlawful content), we will give you notice and a reasonable opportunity to fix the problem first.
- Your data on exit. If an Organisation's subscription ends, we will make its data available for export in a common format for at least 30 days after termination, after which we may delete or anonymise it in line with our Privacy Policy and data-retention practices.
- Clauses that by their nature should survive termination (including clauses 9, 12, 13 and 16) survive.
15. Changes to these terms
We may update these Terms from time to time. For material changes we will give account holders at least 30 days' notice by email or in-app notice before the change takes effect. If you do not accept a material change, you may close your account or cancel your subscription before the change takes effect. Continuing to use the Platform after a change takes effect means you accept it. The current version will always be available at this page.
16. Governing law
These Terms are governed by the laws of Victoria, Australia, and both parties submit to the non-exclusive jurisdiction of the courts of that state. Nothing in this clause prevents you from bringing a claim in your local courts or under the Australian Consumer Law.
